Terms & Conditions For Hire
By commissioning or hiring me (“the Creator”) to create music, sound design, code or related audio/engineering work,
you (“the Client”) acknowledge that you have read, understood, and agreed to these Terms and Conditions:
| 1. | Right to Decline or Terminate Work I reserve the right to decline any commission at my sole discretion and without obligation to provide a reason. I may terminate a commission at any stage before payment is made or work is delivered if unforeseen issues arise. If I terminate a project after payment but before completion, a partial refund will be issued proportional to the work not yet completed. |
| 2. | Payment All payments must be made through PayPal unless explicitly agreed otherwise in writing. Payment ensures legal record-keeping and accurate international currency conversion. Work will not begin until a deposit or full payment (as agreed) has been received. Late or missing payments may result in paused work and/or termination of the project. |
| 3. | Work Queue & Rush Fees Commissions are handled in the order they are received. Estimated start times will be communicated upon confirmation. If the work is required within four (4) weeks, a Rush Fee may apply (typically 25–50% of the base fee, depending on urgency). You can view my current work queue here: Queue |
| 4. | Revisions & Edits Each commission includes up to three (3) free revisions. Additional edits or changes requested after the included revisions, or after final delivery, may incur additional fees at my discretion. Revisions do not include major scope changes such as rewriting entire compositions, replacing instruments, or altering agreed concepts. |
| 5. | Delivery & Communication Clients must provide a valid contact method capable of receiving files up to 50MB in size. I recommend Discord for private delivery and communication. Delivery times are estimates and may vary depending on project complexity or queue length. |
| 6. | Portfolio Use & Credit I retain the right to post or showcase works I create as part of my professional portfolio (e.g., website, demo reel, or social media). Proper credit must be given in the project’s final release if my work is used. Example credit: “Music/Sound Design by JDSherbert” |
| 7. | Ownership & Licensing Unless otherwise agreed in writing: I retain full copyright ownership of all music, sound, or audio created. You are granted a non-exclusive, perpetual commercial license to use the commissioned work solely within your specified project (e.g., a film, game, or video). You may not resell, redistribute, or claim authorship of the work. Exclusive buyout rights (full transfer of copyright ownership) may be negotiated for an additional fee. |
| 7A. | Use with Generative AI and Machine Learning
The commissioned work may not be used, in whole or in part, to train, fine-tune, or otherwise feed any artificial intelligence (AI), machine learning, or neural network systems. The work may not be used as source material for generative audio, music, or sound design tools. The licensed work may be used in projects that include AI elements (e.g., a game with AI dialogue or visuals), provided that my work itself is not processed or repurposed by an AI system. Violation of this clause constitutes a breach of the license and terminates all rights to use the work. |
| 7B. | Royalties
Unless explicitly stated in writing before the start of the project, I do not claim any royalties, backend payments, or residuals from the commercial use of the commissioned work. The agreed-upon commission fee covers all compensation for the creation and licensing of the work as described. If a royalty arrangement is negotiated (for example, revenue share, streaming royalties, or performance rights), such terms must be set out in a separate written agreement and signed by both parties. |
| 8. | Refund Policy Refunds are generally not available once work has begun, except in cases where I am unable to complete the commission. If the Client cancels the commission after work has started, only the unworked portion may be refunded, at my discretion. |
| 9. | Liability I am not responsible for any loss, damages, or claims resulting from the use or misuse of my work. You (the Client) are responsible for ensuring that your use of the commissioned work complies with all applicable laws and platform policies. |
| 10. | Client Responsibilities
The Client must provide clear direction, reference materials, and feedback within a reasonable timeframe. Failure to provide feedback or materials within fourteen (14) days of request may result in project delays, or complete termination without refund. |
| 11. | Updates to Terms I may update these Terms and Conditions at any time. The version in effect at the time a project begins will apply to that project. |
